Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MAPGuard price monitoring and brand-protection platform (the "Service"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the company you represent ("you", "Customer").
1. The Service
MAPGuard provides automated monitoring of publicly advertised product prices across online retailers and marketplaces, including detection of Minimum Advertised Price (MAP) policy violations, price-change tracking, unauthorized seller discovery, reporting, alerting, and optional automated repricing integrations. The Service collects only information that retailers make publicly available to any visitor of their websites or that is provided through official marketplace APIs.
2. Accounts and Access
- You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account.
- Company accounts may invite team members and control their access. You are responsible for the actions of users you add.
- We strongly recommend enabling two-factor authentication, which the Service provides free of charge.
- You must be at least 18 years old and authorized to bind the company you register.
3. Acceptable Use
You agree NOT to use the Service to:
- Monitor websites or data you have no legitimate business interest in (e.g., for harassment or anti-competitive collusion);
- Resell, sublicense, or provide third parties access to the Service or its data without our written consent;
- Attempt to probe, disrupt, reverse engineer, or circumvent the Service's security or usage limits;
- Use collected pricing data in violation of applicable competition/antitrust law. Price monitoring for MAP compliance is lawful in most jurisdictions; coordinating prices with competitors is not. You are solely responsible for how you use the data.
4. Monitoring Targets and Data Accuracy
- You designate which products, retailers, and URLs are monitored. You warrant that monitoring those targets does not violate any agreement you are party to.
- Pricing data is collected on a best-effort basis. Retailer websites change frequently, may block automated access, or may display regionalized prices; we do not guarantee completeness, accuracy, or uninterrupted collection.
- Evidence screenshots and logs are provided for your internal compliance processes and are not certified legal evidence.
5. Fees, Trials, and Billing
- Paid plans are billed in advance on a recurring basis according to the plan you select. Plan limits (monitors, products, users) are enforced by the Service.
- Free trials convert to paid plans only with your action; we may limit or suspend functionality when a trial expires.
- Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice.
- You authorize our payment processors (e.g., Stripe, PayPal) to charge your selected payment method.
6. Intellectual Property
We retain all rights to the Service, its software, and branding. You retain all rights to your product catalogs, policies, and uploaded materials, and grant us a limited license to process them solely to provide the Service. Aggregated, de-identified usage statistics may be used to improve the Service.
7. Third-Party Services
The Service can integrate with third-party APIs and platforms (e.g., Amazon SP-API, Google Shopping data providers, Shopify, Magento, AI providers, proxy networks, payment gateways). Your use of those integrations is also subject to the relevant third party's terms, and you are responsible for the credentials you connect.
8. Suspension and Termination
- You may cancel at any time; cancellation takes effect at the end of the current billing period.
- We may suspend or terminate accounts that violate these Terms, create legal exposure, or remain unpaid after notice.
- Upon termination we will make your data available for export for 30 days, after which it may be permanently deleted.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT MONITORING WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EVERY VIOLATION WILL BE DETECTED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES.
11. Indemnification
You will indemnify and hold us harmless from claims arising out of your use of the Service in violation of these Terms or applicable law, including claims relating to your enforcement actions against sellers based on data from the Service.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced via the Service or email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
13. Governing Law & Contact
These Terms are governed by the laws of the jurisdiction in which the Service operator is established, without regard to conflict-of-law rules. Questions about these Terms can be sent to the contact email published on this site.
